Terms and Conditions

1. Introduction

1.1 These terms and conditions (the "Agreement") govern the provision of software development services by MaxKing Software, an Australian registered company, to the client (the "Client").

2. Scope of Services

2.1 MaxKing Software agrees to provide software development services as outlined in the project proposal or scope of work agreed upon by both parties.

2.2 Any additional features, functionalities, or modifications requested by the Client during the development process may result in additional charges and will be subject to mutual agreement.

3. Payment Terms

3.1 The Client agrees to pay MaxKing Software the agreed-upon fees according to the payment schedule outlined in the project proposal.

3.2 Late payments may be subject to interest charges of 10% per month on the outstanding balance.

4. Project Timeline

4.1 MaxKing Software will make reasonable efforts to adhere to the project timeline outlined in the project proposal. However, unforeseen circumstances or changes in project scope may affect the delivery schedule.

4.2 Delays caused by the Client, including late provision of required materials or approvals, may extend the project timeline, and MaxKing Software will not be held responsible for such delays.

5. Intellectual Property

5.1 Upon receipt of full payment, the Client owns the intellectual property rights to the final software product. Any third-party components or open-source software used in the development will be subject to their respective licenses.

5.2 MaxKing Software retains the right to reuse code, methodologies, and non-proprietary components for other projects.

6. Confidentiality

6.1 Both parties agree to keep confidential all non-public information received from the other party during the course of the project.

7. Warranty and Support

7.1 MaxKing Software provides a 6-month warranty period for the software, during which it will address any defects or issues that arise as a result of the development process.

7.2 Ongoing support and maintenance services beyond the warranty period can be provided under a separate agreement.

8. Termination

8.1 Either party may terminate this Agreement with written notice if the other party breaches any material term and fails to remedy the breach within 7 days.

9. Governing Law

9.1 This Agreement shall be governed by and construed in accordance with the laws of Queensland, Australia. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Queensland.
